Acceptance of Terms
By accessing the TechNova website, requesting a proposal, or engaging us to deliver any software product or service, you agree to be bound by these Terms of Service together with any signed statement of work, order form, or master services agreement. If you are accepting these terms on behalf of a company or other legal entity, you confirm that you have the authority to bind that entity, and references to "you" mean both you and that entity.
Services Provided
TechNova provides custom software development services, including but not limited to deployment and customization of our industry CRM products, configuration and extension of our modular ERP platform, and bespoke web, mobile, and integration engineering. The exact scope, deliverables, timelines, and acceptance criteria of any engagement are defined in a written statement of work or proposal, which prevails over any general marketing material on the website.
Fees and Payment Terms
Fees are set out in the relevant statement of work and are payable in the currency stated on the invoice, typically PKR for clients in Pakistan and GBP, USD, or EUR for international clients. Unless otherwise agreed, fifty percent of the project fee is due at kickoff and the balance is split across defined milestones, with invoices payable within fourteen days of issue. Late payments may attract a reasonable service charge and may pause delivery on the affected project.
Intellectual Property
Subject to full payment of all amounts due under a project, ownership of the bespoke source code and assets created specifically for you transfers to your business on final delivery. TechNova retains ownership of its underlying frameworks, product templates, reusable libraries, and tools, and grants you a perpetual non-exclusive license to use these components as embedded in your delivered software. Neither party may use the other's trademarks without written consent.
Client Responsibilities
Clients agree to provide timely access to the information, content, accounts, and decision-makers necessary for TechNova to deliver the agreed services. Delays or changes caused by client unavailability, unclear requirements, or expanded scope may affect timelines and fees, and any such impact will be communicated in writing. Clients are responsible for ensuring that any data they share with us is lawfully collected and may be processed for the agreed purposes.
Warranty and Support
We warrant that delivered software will substantially conform to the agreed specification for thirty days after go-live, during which any reproducible defect in scope will be fixed at no additional cost. Beyond this period, ongoing maintenance, enhancements, and support are available under a separate support plan. Except for this express warranty, services are provided on an "as is" basis to the maximum extent permitted by applicable law.
Limitation of Liability
To the maximum extent permitted by law, TechNova's total aggregate liability arising out of or related to any engagement, whether in contract, tort, or otherwise, shall not exceed the total fees paid by the client to TechNova under the relevant statement of work in the twelve months preceding the event giving rise to the claim. Neither party shall be liable for indirect, incidental, special, consequential, or punitive damages.
Termination
Either party may terminate an engagement for material breach if the breach remains uncured for fourteen days after written notice. Clients may also terminate for convenience by giving thirty days written notice, in which case fees are payable for all work performed and reasonable wind-down costs up to the termination date. On termination, TechNova will hand over completed work product corresponding to the amounts that have been paid in full.
Governing Law and Contact
These Terms of Service are governed by the laws of the Islamic Republic of Pakistan, without regard to its conflict of law principles, and the courts of Karachi shall have non-exclusive jurisdiction over any dispute.
